The service
Arda provides an AI SEO specialist that performs delivery work — audits, CMS-ready fixes, tickets, and reports — across the client accounts you connect. Arda prepares work product for review; your team approves changes before they are applied.
Accounts
You are responsible for the accuracy of the information you provide, for maintaining the security of your credentials, and for all activity under your account. Notify us promptly of any unauthorized use.
Acceptable use
You agree not to:
- Use the service in violation of any law or third-party rights.
- Connect accounts or data you are not authorized to access.
- Attempt to disrupt, reverse engineer, or gain unauthorized access to the service.
- Use the service to generate spam, deceptive content, or manipulative link schemes.
- Access or attempt to access another customer’s data or account.
- Probe, scan, or test the vulnerability of the service, except by reporting an issue to us as described in the security section of our Privacy Policy.
Customer data & connected accounts
You retain ownership of the content and data in the accounts you connect (“Customer Data”). You grant Arda the rights needed to access and process Customer Data to provide the service. You represent that you have the authority and permissions required to connect each account.
Ownership of output
As between you and Arda, you keep all rights in your Customer Data and in the instructions, brand materials, and other content you give the service (“Inputs”), and you own the code, content, and other work product the service generates for you (“Outputs”). Outputs include pages and copy, on-page and technical fixes, code, structured data, tickets, and reports.
Arda claims no ownership of Outputs. To the extent we have any right, title, or interest in an Output, we assign it to you. You may use, modify, publish, and commercialize Outputs for any lawful purpose, including on behalf of your own clients, without attribution to Arda. Your ownership of Outputs continues after your subscription ends.
You grant us a limited license to use Inputs and Outputs only as needed to provide, maintain, and secure the service for you, and as described in our Privacy Policy.
Because of how AI systems work, Outputs may not be unique, and the service may generate similar output for other customers. Your ownership does not extend to other customers’ outputs or to material that is not protected by intellectual property law. You are responsible for reviewing Outputs before you use or publish them, including for accuracy and for rights in any third-party material they contain.
Security & data protection
We maintain reasonable administrative, technical, and organizational safeguards to protect Customer Data, as described in our Privacy Policy. If we become aware of unauthorized access to Customer Data, we will notify you without undue delay. You are responsible for securing your own systems and credentials and for the access you grant Arda to connected accounts, which you can revoke at any time. Confidentiality
We treat Customer Data and the other non-public information you share with us as confidential, and use it only to provide the service and as described in these terms and our Privacy Policy. You agree to keep non-public information about the service that we share with you, such as quoted pricing or unreleased features, confidential as well.
Third-party services
The service works with third-party platforms you connect, such as your CMS, analytics, and search tools. Your use of those platforms is governed by their own terms. We are not responsible for third-party platforms or for changes they make that affect how the service works with them.
Approval & responsibility
Arda drafts changes for your review and does not apply them without your approval. You are responsible for reviewing work product before it ships and for the results of changes you approve. The service is provided as a tool to assist your team, not as a substitute for professional judgment.
Fees
Fees, billing periods, and any pilot terms are as agreed in your order or subscription. Unless stated otherwise, fees are non-refundable and exclusive of taxes.
Intellectual property
Arda and its licensors own the service, including its software, underlying technology, design, and trademarks. That ownership does not extend to your Inputs or Outputs, which are covered under “Ownership of output” above. These terms do not grant you any rights to our marks or to the service except the limited right to use it as described here.
Disclaimers
The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or achieve any particular ranking or traffic outcome.
Limitation of liability
To the maximum extent permitted by law, Arda will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the service will not exceed the amounts you paid to us in the twelve months before the claim.
Termination
You may stop using the service at any time. We may suspend or terminate access if you breach these terms or if needed to protect the service. Upon termination, your right to use the service ends, and we will handle Customer Data as described in our Privacy Policy.
Changes to these terms
We may update these terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the service after changes take effect constitutes acceptance.
